§ Agreement to terms.
By accessing or using the services provided by Middle East Software Solutions Limited ("MESS", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you do not have permission to access our services.
§ Services.
MESS provides software development, AI/ML solutions, mobile and web development, and UI/UX design services. The specific scope, deliverables, and terms of any project will be outlined in a separate agreement or statement of work.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
§ Intellectual property.
Unless otherwise agreed in writing, all intellectual property rights in any work created by MESS shall remain the property of MESS until full payment has been received. Upon receipt of full payment, intellectual property rights in the deliverables will transfer to the client as specified in the project agreement.
The content on our website, including text, graphics, logos, and images, is the property of MESS and is protected by copyright and other intellectual property laws.
§ Client responsibilities.
Clients agree to:
- — Provide accurate and complete information as required for the project
- — Respond to requests for feedback and approvals in a timely manner
- — Make payments according to the agreed schedule
- — Ensure they have the right to use any materials provided to us
- — Not use our services for any unlawful purpose
§ Payment terms.
Payment terms will be specified in individual project agreements. Unless otherwise stated:
- — Invoices are due within 14 days of receipt
- — Late payments may incur interest at 4% above the Bank of England base rate
- — We reserve the right to suspend work on projects with overdue payments
§ Confidentiality.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of any agreement between the parties.
§ Limitation of liability.
To the maximum extent permitted by law, MESS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service giving rise to the claim.
§ Warranties and disclaimers.
We warrant that our services will be performed with reasonable skill and care. However, we do not warrant that our services will be uninterrupted, error-free, or meet all of your requirements.
Except as expressly stated herein, all warranties, whether express or implied, are excluded to the fullest extent permitted by law.
§ Termination.
Either party may terminate an agreement with written notice as specified in the project agreement. Upon termination, the client shall pay for all work completed up to the date of termination.
§ Governing law.
These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
§ Changes to terms.
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services following any changes indicates your acceptance of the new terms.
